Terms of Use

1.Introduction and Definitions

Welcome to Teledomica! Teledomica enables users to explore and visualise digital 3D models in an interactive and immersive way. These Terms of Use ("Terms") are designed to ensure a safe and enjoyable experience for all users. By accessing and using Teledomica’s website, applications, and services ("Services"), you agree to be bound by these Terms and our Privacy Policy, which can be updated over time. Our goal is to create a vibrant community where users can share, view, and interact with 3D models seamlessly. Please read these Terms carefully as they constitute a legally binding agreement between you and Teledomica Ltd.
In these Terms, "Teledomica," "we," "us," or "our" refers to Teledomica Ltd. "User," "you," or "your" refers to individuals or entities using our Services. "Content" includes any information, text, graphics, photos, 3D models, or other materials uploaded, downloaded, or appearing on the Services. "User-Generated Content” (“UGC”) refers to any content created and uploaded by users. "Account" denotes a registered user account on Teledomica, and "Paid Services" refers to the subscription plans with enhanced features offered by Teledomica. If you do not agree to these Terms, you may not use our Services.
If you agree to these Terms of Use on behalf of an entity or organisation, you represent and warrant that you have the authority to do so. Therefore, you bind the entity or the organisation to these Terms. In this case, any references to "you" and "your" in these Terms of Use will refer to the entity or organisation you are representing.
Teledomica provides a platform for sharing, viewing, and interacting with 3D models. Users can upload 3D models, supplementary images, and textual information to the platform, where they can be showcased, stored privately, or embedded in external websites for augmented reality experiences.
Teledomica offers both free services ("Free Services") with limited functionality and various tiers of paid services ("Paid Services") plans with enhanced functionality. For details on how we process and protect your personal information, please refer to the Teledomica Privacy Policy, available at https://www.teledomica.com/privacy.
We reserve the right to modify Teledomica at any time, with or without notice to you. This may include adding or removing functionality or features or suspending or discontinuing a particular feature entirely.  We also reserve the right to introduce fees for any of our features at any time. If you disagree with any changes, you are free to stop using Teledomica at any time.

2.User Accounts
   2.1.Account Creation
      2.1.1.Account Creation Requirement: 

Users must create an account to access Teledomica's services. Accounts can be created by filling out the registration form on the platform.

      2.1.2.Information Accuracy: 
Users are required to provide accurate and up-to-date information during registration. Any changes must be updated promptly to ensure account accuracy.

   2.2.Age Restrictions
      2.2.1.Minimum Age Requirement: 

Teledomica’s services are intended solely for users aged 18 and above. Users under the age of 18 are strictly prohibited from creating an account or accessing the services. By registering an account, users confirm that they meet this age requirement. Teledomica reserves the right to request proof of age at any time and may suspend or terminate accounts if the age requirement is not met. This provision is void where prohibited by law, and the right to access the services is revoked in such jurisdictions.

   2.3.Account Security
      2.3.1.Confidentiality of Login Information: 

Users are responsible for keeping their account login information, including passwords, confidential. Teledomica recommends that users choose strong, unique passwords and avoid sharing their credentials with others.

      2.3.2.Two-Factor Authentication (2FA): 
Where available, users are encouraged to enable Two-Factor Authentication (2FA) to enhance account security. This additional layer of security helps protect against unauthorised access.

      2.3.3.Monitoring of Account Activity: 
Users should regularly monitor their account activity. If any suspicious activity is detected, such as unauthorised logins or changes to account settings, users must report it to Teledomica immediately.

      2.3.4.Responsibility for Account Use: 
All actions taken under a user’s account are the responsibility of the account holder. Users must ensure that their account is used in compliance with these Terms, Teledomica’s policies and applicable laws. You may not sell or transfer your account to any third party. You may not permit others to use your account.

      2.3.5.Account Lockout and Recovery: 
In the event of repeated failed login attempts, Teledomica may temporarily lock the account to protect against unauthorised access. Users can recover their account by emailing support@teledomica.com.

   2.4.Username Policy
      2.4.1.Initial Username Format: 

Upon account creation, Teledomica automatically generates a username by combining the user's first and last name. This default username format is used throughout the platform unless otherwise amended by Teledomica.

      2.4.2.Username Updates: 
Teledomica reserves the right to update the username format without prior notice. In such cases, users may be assigned a randomly generated username. After this update, users will have the opportunity to change their username to one of their choosing, provided it is not already taken.

      2.4.3.Username Uniqueness: 
All usernames must be unique across the platform. Users are encouraged to choose a username that reflects their identity or brand, keeping in mind that offensive or inappropriate usernames are not permitted. Teledomica retains the discretion to deactivate, reallocate, or rename usernames that violate these guidelines or are deemed inappropriate.

      2.4.4.Username Visibility: 
The chosen username is visible to other users on the platform and is associated with all user-generated content. Users should be aware that their username forms part of their public profile on Teledomica.

   2.5.Corporate Email Accounts
      2.5.1.Corporate Responsibility: 

Accounts associated with corporate email addresses act on behalf of the company. The account holder is responsible to obtain approval from their company and is responsible for ensuring that all activities conducted under these accounts comply with Teledomica's Terms of Use.

   2.6.Responsibilities
     2.6.1.Compliance: 

Users must comply with all applicable laws and Teledomica’s policies when using their account. They are responsible for all activities under their account and must ensure their use of the services does not violate any laws or infringe on third-party rights.

   2.7.Account Cancellation
      2.7.1.User-Initiated Cancellation: 

Users can cancel their account at any time by emailing support@teledomica.com. Cancellation will result in the loss of access to all services, and any associated content may be deleted according to the platform's data retention policy.

      2.7.2.Teledomica-Initiated Cancellation: 
Teledomica reserves the right to cancel or suspend an account if the user is found to be in violation of the Terms of Use, including but not limited to unauthorised use, policy violations, or illegal activities.

3.User-Generated Content Distribution and Viewing
   3.1.Definition and Types of UGC

User-Generated Content (“UGC”) on the Teledomica platform includes various types of content that individuals or companies upload, primarily focusing on 3D models. Each piece of UGC must include supplementary images and textual information related to the 3D models. Users are not permitted to upload images without associating them with a 3D model. The comprehensive UGC package typically consists of:
3D Models: The core content that forms the basis of all uploads, currently supported in .glb format.
Images: Supplementary visual content that provides cover image or additional context or details about the 3D model.
Text Information: Descriptions, specifications, and other relevant textual data that explain or annotate the 3D models.
Associated Web Link: If necessary, users should provide a web link associated with the 3D model for additional context or resources.

   3.2.Uploading UGC
Users can upload UGC to Teledomica by creating or obtaining a 3D model in using third-party drawing software, by 3D scanning, or using an existing 3D model file. After creating an account and logging in through the web app, users can access the upload section via Sampleroom or Showcases. They must complete the required fields, including uploading the 3D model, supplementary images, textual information, and an optional web link. All uploaded UGCs are saved as drafts initially. Users can review and edit their drafts before publishing to make the models visible on the selected distribution channels (Sampleroom, Showcases).

   3.3.Distribution Channels
Teledomica offers multiple channels for distributing and viewing UGC, ensuring that content reaches the appropriate audience through various platforms:

      3.3.1.Showcases
The Showcase section of Teledomica allows users to display their UGC for viewing by others. 
When a model is uploaded to Showcase and moved from draft to published mode, it becomes findable in the Showcase section. 
Activating the Mobile AR function during publishing enables the model to be viewed on PCs and mobile devices, including in augmented reality. For Mobile AR enabled UGC, the Web AR viewing framework renders the 3D model in the recipient's browser, using WebGL technology to enable interactive 3D visualisation and augmented reality integration. This process ensures that the model can be properly downloaded, rendered, and displayed in augmented reality for the recipient.
Additionally, the Embedded links functionality allows Mobile AR enabled UGCs in Showcases to be integrated into third-party websites via a generated web link, making them publicly accessible.
The Showcase section is searchable, allowing users to explore UGC under various user profiles. However, while all UGC can appear in searches, their visibility in the Showcase Feed is moderated by Teledomica to ensure quality.

      3.3.2.Sampleroom
The Sampleroom section of Teledomica is a private storage space where UGC uploaded by a user are visible only to that user. Once an uploaded UGC is published, the user can share it with other Teledomica users, making the content appear in the recipient's "Shared with Me" section of their Sampleroom. The recipient has the option to delete the UGC, which removes it from their shared list without notifying the sender.
For Mobile AR enabled UGC, the Web AR viewing framework renders the 3D model in the recipient's browser, using WebGL technology to enable interactive 3D visualisation and augmented reality integration. This process ensures that the model can be properly downloaded, rendered, and displayed in augmented reality for the recipient.

      3.3.3.Embedded Links
This feature allows users to embed links to their UGC on external websites. Visitors to these websites can view the 3D models in augmented reality, providing an interactive experience directly from the user’s own site.

   3.4.Viewing Types and Monthly View Counts
All views, regardless of the distribution channel, contribute to the user’s monthly view count. The viewing types include:
VR Views: Views through the Quest app.
Mobile Views: Views through the Teledomica web app or website.
Link Views: Views through embedded links on external websites.

   3.5.Searchability and Showcase Feed Management
Content uploaded to Showcases will be searchable within the Teledomica platform. Users can search for content by typing the name of the uploader or the name of the UGC. The feed section of Showcases is curated and regulated by Teledomica to ensure the information displayed is design-oriented and relevant to real-world artefacts. Companies or individuals who wish to have their content featured in the feed must contact Teledomica via email (support@teledomica.com) and obtain approval. Teledomica may also invite users to feature their UGC on the feed. Teledomica is committed to maintaining the quality and relevance of the feed content.

   3.6.Licensing and Usage of UGC
By uploading UGC to Teledomica, you grant the platform a worldwide, non-exclusive, perpetual licence to use, publicly display, and sublicense the content for purposes related to the platform’s services. This includes promotional and marketing activities aimed at enhancing the visibility and reach of the content.
The responsibility for ensuring that the UGC uploaded to Teledomica complies with all applicable rights lies solely with the user, not with Teledomica. Teledomica does not verify or confirm the ownership of the rights for the UGC uploaded by users.
By uploading UGC, you represent, warrant, and ensure that you have all necessary rights to grant the associated licences and that your content does not infringe on any third-party rights, including trademarks, copyrights, contractual rights, or any other intellectual property or proprietary rights. You agree to be held responsible for any claims against Teledomica related to the UGC you upload and to indemnify and hold Teledomica harmless from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to any violation of such third-party rights.

   3.7.Third-Party Links and Resources
An UGC may include links to external websites or services that are not under Teledomica's control. These links are provided for additional context or information related to user-uploaded models. Users are responsible for ensuring that any links they provide are accurate and lawful. Teledomica does not endorse or guarantee the content of these links and is not liable for any issues that arise from their use. Users should exercise caution and review the terms of use of any linked resources.

   3.8.Rules and Limitations of UGC
To maintain a positive and secure environment, the following rules and limitations apply to UGC on Teledomica:

      3.8.1.Prohibited Content: 
Users must not upload content that is harmful, illegal, inappropriate, pornographic, obscene, or that promotes violence or hate speech.

      3.8.2.Rights and Permissions: 
Users must have all necessary rights and permissions to upload their content. Teledomica is not responsible for verifying ownership of the rights for the UGC uploaded by users.

      3.8.3.Responsibility for Violations: 
Users agree to be held responsible for any claims against Teledomica in relation to the UGC they upload and to hold Teledomica harmless from any claims, damages, losses, liabilities, and expenses arising from violations of third-party rights. 

      3.8.4.Content Review and Removal: 
Teledomica reserves the right to review, suspend, or remove any content that violates these terms or is deemed inappropriate. Users will be notified of any such actions and may be required to address the issue or risk account suspension. Teledomica reserves the right to analyse any UGC for violations. This includes monitoring content to ensure compliance with platform policies and tracking activities to identify users who upload and share inappropriate or prohibited content. Teledomica may take action against users found in violation of these policies.

      3.8.5.Content Security: 
While Teledomica implements security measures to protect UGC, no security system can offer 100% protection. Users are advised to avoid uploading highly confidential or commercially sensitive material, as well as content containing personal information, such as images or 3D model of a person’s face or body parts.

4.Payment and Subscriptions
   4.1.Overview

Teledomica offers both free and paid subscription plans, providing various levels of access and features.

   4.2.Free Basic Membership
All users who sign up receive a free basic membership, which includes the following features:
Model Upload: Allows a certain number of 3D models to be uploaded to the Sampleroom.
Viewing Access: Provides basic viewing capabilities without any time limit.

   4.3.Pro and Enterprise Memberships
Pro Membership: Allows users to upload content to the Showcase section and provides increased model uploads, additional views, and premium support.
Enterprise Membership: Customizable features for organisations, including enhanced support and viewing limits.

   4.4.Payment Terms
Billing Cycle: Subscription fees are billed in advance on a monthly basis and renewed automatically unless cancelled by the user.
Payment Methods: Users must provide a valid payment method (e.g., credit card, debit card). Teledomica uses Stripe for secure payment processing. By providing payment information, users authorise Teledomica to charge the designated payment method for all subscription fees. You represent and warrant that you have the legal right to use the Stripe account, and any bank accounts or credit card(s) accessed through the Stripe account, that you use to pay for the services.
Taxes: Subscription fees do not include any applicable taxes. Users are responsible for paying any taxes imposed by relevant authorities.
Access to Bills: Users can access their billing history and invoices through their Stripe dashboard.

   4.5.Subscription Management
      4.5.1.Upgrading and Downgrading Memberships: 

Users can upgrade or downgrade their membership at any time. Adjustments will be made to subscription days and fees accordingly.

      4.5.2.Subscription Cancellation: 
If a Pro or Enterprise user cancels their subscription, they will retain access to services until the end of the current billing period. Upon cancellation, the user's Showcase UGC will lose its visibility and searchability. Teledomica will store the user's content for up to 2 years to allow them to resume from where they left off. In the Sampleroom, only the last 3 uploaded models will be preserved based on the upload date, with the rest being deleted.

      4.5.3.Viewing Limits: 
If a Pro or Enterprise user's views approach their monthly limit, Teledomica will notify them when they have exceeded their viewing limit. If the view limit is reached, Teledomica will suspend the model’s visibility in Showcases and from external links until the end of the subscription period or until additional viewing limits are purchased. Users can contact Teledomica via support@teledomica.com to purchase additional viewing limits, with pricing available upon request.

      4.5.4.Subscription Cancellation by Teledomica for Misuse: 
Teledomica reserves the right to cancel or suspend a user’s subscription if misuse of the service is detected, including but not limited to, violations of the Terms of Use or uploading prohibited content.

   4.6.Payment Failure and Late Payment
Automatic Notification: If a payment fails or is late, the system will automatically notify the user that the payment could not be received, and their membership will be downgraded to Basic. Users can disable automatic renewal through their Stripe dashboard.
Cancellation Policy: If the payment issue is not resolved, the cancellation policy will apply, resulting in the suspension of the user’s subscription and services.

   4.7.Changes to Subscription Plans
Notification of Changes: Users will be notified of any changes to their subscription plans, including pricing or features, at least 2 weeks in advance.

   4.8.Refund Policy
Teledomica does not offer refunds for paid subscriptions, except as required by law. Users are encouraged to utilise the Free Basic membership to assess the suitability of the services before committing to a paid subscription. If users cancel their subscription, they will continue to have access to the services until the end of their current billing period, but no partial refunds will be issued.

5.Marketing and Promotional Use
   5.1.Use of User-Generated Content (UGC) in Marketing

Teledomica may use User-Generated Content (“UGC”) in Showcases in its marketing and promotional materials. By uploading content to Teledomica, users grant the platform a non-exclusive, worldwide licence to use, distribute, and display their content for marketing purposes. This includes, but is not limited to, showcasing UGC on Teledomica’s website, social media channels, and in promotional campaigns.

   5.2.Attribution
When Teledomica uses UGC in marketing materials, the platform will strive to attribute the content to the original creator. This may include mentioning the creator’s username or linking back to their profile on Teledomica, where feasible.

   5.3.User Consent
By agreeing to Teledomica’s Terms of Use, users consent to the use of their content in marketing materials. Users who do not wish to have their content used for marketing purposes should contact Teledomica’s support team to opt-out.

   5.4.External Marketing Collaborations
Teledomica may collaborate with third-party organisations, such as designers, museums, or brands, to create joint marketing campaigns. In such cases, the content used in these campaigns will be subject to the same licensing and attribution rules as outlined above.

   5.5.Content Integrity and Modifications
Teledomica may make minor modifications to UGC used in marketing materials to better fit the format or style of the campaign. However, Teledomica will not alter the fundamental nature of the content without the creator's permission.

6.Intellectual Property
   6.1.Ownership of Teledomica Content

Teledomica retains all rights, title, and interest in the content it provides on the platform, including text, images, data, graphics, videos, software, and other materials. This content is protected by copyright, trademark, and other intellectual property laws.

    6.2.General Information
Teledomica’s content, including Teledomica Generated Content (TGC), is proprietary and created either by Teledomica or in collaboration with third parties. Users are granted a limited licence to access and use this content under the terms provided. Using the Services does not give you any ownership rights over any Teledomica Content. All rights not explicitly granted to you under these Terms are reserved.

   6.3.Proprietary Rights
All rights to Teledomica’s content, including but not limited to copyrights, trademarks, and patents, are owned by Teledomica or its licensors. Unauthorised use, reproduction, distribution, or modification of this content without explicit permission is prohibited. 

   6.4.Licence to Use Services and Content
Teledomica grants users a limited, non-exclusive, revocable, non-sublicensable, and non-transferable licence to access and use the platform’s services and content for personal and general purposes in accordance with these Terms. This licence does not permit users to modify, distribute, or create derivative works from Teledomica content without prior written consent.

    6.5.Software Use
The software provided by Teledomica is licensed, not sold. Users are granted a limited licence to use the software in accordance with the platform's terms. Reverse engineering, decompiling, or attempting to extract the source code of the software is strictly prohibited. Teledomica may update the software without prior notice, and such updates will be subject to the terms outlined in these Terms.

7.Safety 
This Safety Section outlines Teledomica's commitment to maintaining a secure and supportive environment for all users, including expectations for user behaviour, content guidelines, data protection, and procedures for handling safety concerns.

   7.1.User Conduct
Teledomica is committed to providing a safe and respectful environment for all users. Users must conduct themselves in a manner that promotes a positive and secure experience for others. Harassment, abuse, and any form of harmful behaviour will not be tolerated. Users are expected to follow all platform guidelines and respect the rights of others.

   7.2.Content Safety
All content uploaded to Teledomica must adhere to the platform's standards for safety and legality. Content that is illegal, harmful, or inappropriate, including but not limited to hate speech, violence, or explicit material, is strictly prohibited. Teledomica reserves the right to review, monitor, and remove any content that violates these guidelines.

   7.3.Data Security
Teledomica takes data security seriously and employs industry-standard practices to protect user information. This includes encryption, secure storage, and regular security audits. Users are encouraged to use strong, unique passwords and enable Two-Factor Authentication (2FA) where available to further secure their accounts.

   7.4.Incident Response
Users can report any safety concerns, including harmful content or behaviour, through Teledomica’s reporting system by emailing support@teledomica.com. Once a report is submitted, Teledomica will promptly investigate the issue and take appropriate action, which may include removing content, suspending accounts, or notifying law enforcement if necessary. 

   7.5.User Safety
Users are advised to take proactive measures to protect their safety while using the platform. This includes securing their accounts, being cautious of phishing attempts, and avoiding interactions with suspicious profiles. Teledomica provides resources and guidance to help users recognize and respond to potential security threats.

8.Communication
This Communication Section outlines how Teledomica will interact with its users, including the handling of service interruptions, providing user support, managing notifications, and ensuring user safety.

   8.1.Service Interruptions and Maintenance
To ensure the ongoing reliability and security of the platform, Teledomica may occasionally perform maintenance that could result in temporary service interruptions. Users will be notified in advance of scheduled maintenance through email or in-platform notifications. In the event of unexpected service disruptions, Teledomica will work to resolve the issue as quickly as possible and provide updates to users.

   8.2.User Support and Inquiries
Teledomica is committed to providing clear and timely communication with its users. For any inquiries, support requests, or reports of issues, users can contact Teledomica via support@teledomica.com. The support team will respond promptly, typically within 24-48 hours, to address user concerns.

    8.3.Notifications and Updates
Teledomica will communicate important updates, changes to the platform, and any other relevant information through email and in-platform notifications. Users are encouraged to keep their contact information up to date to ensure they receive all communications.

   8.4.Incident Response
In the event of a safety or security incident, users can report the issue through the platform’s reporting system or directly via email. Teledomica will investigate all reports promptly and take appropriate action, which may include content removal, account suspension, or further investigation.

   8.5.Managing Notification Preferences
Users have the ability to manage their notification preferences, including opting in or out of certain types of communications by unsubscribing. This ensures users only receive the communications that are relevant and necessary for their use of the platform.

   8.6.User Safety Recommendations
Teledomica advises users to take proactive measures to ensure their safety while using the platform. This includes securing their accounts with strong, unique passwords, enabling Two-Factor Authentication (2FA) where available, and being cautious of phishing attempts or suspicious activity. Users should regularly monitor their accounts for any unusual activity and report any concerns to Teledomica immediately.

9.Warranty Disclaimer
Teledomica provides its services and software on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory. You expressly agree that your use of the services is at your sole risk. Teledomica expressly disclaims all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from the course of dealing or usage of trade.

Teledomica does not warrant that the services, software, or any content will meet your requirements, be uninterrupted, timely, secure, or error-free. Teledomica also disclaims any responsibility for the accuracy, reliability, or completeness of any information provided through the services. No advice or information, whether oral or written, obtained by you from Teledomica or through the services shall create any warranty not expressly stated herein.

10.Limitation of Liability
Teledomica shall not be liable for any loss of business, loss of use, loss of revenues, profits, or data, or harm to any computer or system, even if Teledomica has been advised of the possibility of such losses. Teledomica takes commercially reasonable measures to prevent the inclusion of viruses, worms, Trojan horses, or other malware in its services or software, but makes no warranty that these are entirely free from such threats. Teledomica and its licensors shall not be responsible for any indirect, incidental, special, or exemplary damages arising out of or connected in any way with these Terms, the services or the transactions contemplated herein. The maximum liability of Teledomica for any cause or matter arising under or in connection with the service, these Terms, or its breach shall not exceed the sum of US $100 (One hundred U.S. dollars), regardless of the form of action and however arising.

11.Dispute Resolution
   11.1.Arbitration Agreement

Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration. The arbitration shall be conducted by a single arbitrator in accordance with the Arbitration Act 1996 and the rules of the Chartered Institute of Arbitrators (CIArb). The arbitration shall take place in London, England, unless the arbitrator determines another location is more convenient for the parties. The arbitrator shall have the authority to award any remedies available under law.
The arbitration will be conducted on an individual basis only, and you agree to waive any right to participate in a class action or representative proceedings. Each party shall bear its own costs and expenses, unless otherwise determined by the arbitrator.

   11.2.Governing Law
All matters arising from or relating to these Terms shall be governed exclusively by the laws of England and Wales., excluding the application of the principles of conflicts of laws

12.Miscellaneous
   12.1.Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the remaining provisions will continue to be in full effect. The invalid, illegal, or unenforceable provision will be revised only to the extent necessary to make it enforceable, while preserving the original intent.

   12.2.Entire Agreement
These Terms constitute the entire agreement of the parties relating to the use of all Teledomica Services, Materials, Applications, and relevant copyrights. These Terms supersede all prior agreements between the parties.

   12.3.Amendments
We may update the Terms as we continue to improve our Services. We reserve the right to make changes to the Terms at any time and will notify you of any updates.
If you continue to use the Services, it means that you accept any new terms or any change to the existing terms. If you do not agree with the new Terms, you will no longer be able to use the Services.
